Legal Terms and Conditions of Use

Strategic Analysis, Inc. (hereinafter referred to as "SA") maintains this Website to enable you to manage the planning, web advertising, on-line registration and registration for conferences, meeting or events. You agree that your access to and use of this Website are subject to your agreement to the following terms and conditions. Please see the Eventmaker Service Description for a complete overview of the services provided and the fees associated with those services.

1. Billing Policy
   
   Basic Service
   
   A onetime access fee is billed to the client when service is ordered. Payment of this fee is required prior to initiation of user access to server. Invoices for completed conferences are billed on a monthly basis to clients detailing all conferences completed that month. Information detailed on monthly invoices includes conference name, number of online registrants, processing fees for each online registrant, additional service charges including but not limited to graphics design and total balance due for the month.
   
   Invoices are considered due upon receipt. Payment for services is considered delinquent thirty (30) days after billing date. Monthly finance charges of 1.75% of outstanding fees detailed above will apply to delinquent accounts thirty-one days or more outstanding until all fees are paid. All costs of collection efforts will be the responsibility of the client including but not limited to collection agency fees and/or attorney fees incurred during the collection process.
   
   Enhanced Credit Card Processing Option
   
   Strategic Analysis will disburse the funds collected (adjusted for refunds) only after the conclusion of the meeting. All fees due to Strategic Analysis, Inc. will be off set against funds collected on behalf of the client. These fees include, but are not limited to, processing fees for each online registrant, processing fees for credit card transactions totaling 5.0% of the total registration fees collected and additional service charges including but not limited to graphics design.
   
   Refunding payment received via credit card will be permitted through the last day for any scheduled meeting. The Meeting Administrator, via the "Administration" section, will initiate refund requests. Both the Meeting Administrator and the registrant involved will receive confirmation e-mails when a refund is processed.
   
   Statement format will have two sections 1) detail of fees due to Strategic Analysis, Inc. as listed in the above paragraph 2) detail of funds collected on behalf of the client via web credit card processing. The net due to the client will be indicated and a reimbursement check enclosed or the net due to Strategic Analysis, Inc. will be indicated with the notation due upon receipt.
   
   Payment for services is considered delinquent thirty (30) days after billing date. Monthly finance charges of 1.75% of outstanding fees detailed above will apply to delinquent accounts thirty-one days or more outstanding until all fees are paid. All costs of collection efforts will be the responsibility of the client including but not limited to collection agency fees and/or attorney fees incurred during the collection process.
   
   Strategic Analysis, Inc. reserves the right of set off for all fees due to the company against collected conference registration fees due to the client. This right of set off includes fees due to Strategic Analysis, Inc. for all accounts with the client including basic service and enhanced credit card processing option service.
   
   
2. Modification
   
   Strategic Analysis reserves the right to modify the information contained on this Website or these Terms and Conditions of Use at any time without notice. By accessing this Website after any changes to these Terms and Conditions of Use have been posted thereon, you will be deemed to have consented to all such changes.
   
   
3. Subscription
   
   You may display and print information available on this Website solely for the event for which you purchased the subscription. You may not reproduce, distribute, store, broadcast, or resell information or content included on the Website without obtaining prior written consent of an authorized representative of SA. SA reserves all rights not granted herein, including all copyrights.
   
   
4. Intellectual Property
   
   The trademarks, service marks, and logos (the "Trademarks") used and displayed on this Website are registered and unregistered marks of SA and others. Nothing on this Website should be construed as granting, by implication, estoppels, or otherwise, any license or right to use any Trademark, without the written permission of SA. SA aggressively enforces its intellectual property rights to the fullest extent of the law. SA's Trademarks may not be used in any way, including in advertising or publicity pertaining to distribution of materials on this Website, without prior, written permission.
